1. Acceptance of Terms

Welcome to Vine & Grove (the “Platform”), operated by Vine and Grove LLC, a Washington limited liability company (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website at vineandgrove.com, our mobile applications, and all related services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are accessing or using the Services on behalf of a business or entity, you represent and warrant that you have the authority to bind that business or entity to these Terms.

PLEASE READ THESE TERMS CAREFULLY, INCLUDING THE ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 15, WHICH AFFECTS HOW DISPUTES ARE RESOLVED.

2. Eligibility

2.1 Age Requirements

You must be at least 13 years old to create a Neighbor account and use the Services as a buyer. If you are under 18, you may only use the Services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

You must be at least 18 years old and able to form a legally binding contract to create a Provider account and sell products or services through the Platform.

2.2 Geographic Limitations

The Services are currently available only within the United States. All transactions are conducted in U.S. dollars. By using the Services, you represent that you are located in the United States and comply with all applicable local, state, and federal laws.

2.3 Account Restrictions

You may not use the Services if you have been previously banned or removed from the Platform. You may not create multiple accounts for the purpose of circumventing restrictions or fees.

3. Description of Services

3.1 Platform Overview

Vine & Grove is a community-first local marketplace that connects local producers, craftspeople, and service providers (“Providers”) with neighbors and consumers (“Neighbors”) in their communities. The Platform facilitates the discovery, ordering, and pickup of locally produced goods and services.

3.2 Platform as Intermediary

Vine & Grove acts solely as an intermediary platform connecting Providers and Neighbors. We are not a party to any transaction between Providers and Neighbors. We do not own, produce, sell, resell, provide, control, manage, offer, deliver, or supply any products or services listed on the Platform.

3.3 Community Structure

The Platform is organized around local communities, each managed by volunteer Community Leaders who help moderate content, approve Providers, and foster local engagement. After logging in, users are directed to their Community Hub, which serves as the central experience for discovering local Providers, events, and discussions.

3.4 Pickup Model

All product orders are fulfilled through in-person pickup. Delivery is not currently available. Providers set their own pickup locations and time slots. Neighbors select from available options at checkout.

4. User Accounts

4.1 Account Creation

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

4.2 Account Types

• Neighbor Accounts are free and allow you to browse Providers, place orders, participate in community forums, and attend events.
• Provider Accounts require a paid subscription and allow you to list products or services, manage orders, and engage with Neighbors.
• Community Leader Accounts are designated by the Company and provide additional moderation and management capabilities within a community.

4.3 Account Security

You must notify us immediately at legal@vineandgrove.com if you suspect unauthorized access to your account. We are not liable for any loss or damage arising from unauthorized use of your account.

4.4 Account Termination

You may delete your account at any time through your account settings. We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion, with or without notice.

5. Transactions and Payments

5.1 Payment Processing

All payments are processed through Stripe, our third-party payment processor. By making a purchase, you agree to Stripe's terms of service in addition to these Terms. We do not store your full payment card information on our servers.

5.2 Community Investment Fee

Vine & Grove charges a 10% Community Investment fee on all transactions processed through the Platform. This fee is added to the Neighbor's order total. Providers receive 100% of their listed price.

5.3 Pricing

Providers set their own prices for products and services. Vine & Grove does not control or influence pricing. All prices are displayed in U.S. dollars.

5.4 Order Confirmation

When you place an order, you will receive an order confirmation. This confirmation does not constitute acceptance of your order by the Provider. The Provider reserves the right to cancel any order for any reason, including product unavailability, pricing errors, or suspected fraud.

5.5 Refunds and Cancellations

Refund and cancellation policies are set by individual Providers and are displayed on their shop pages. As an intermediary platform, Vine & Grove does not directly process refunds. If a dispute cannot be resolved with a Provider, see Section 15 (Dispute Resolution) for the escalation process.

5.6 Taxes

Providers are solely responsible for determining and collecting any applicable sales tax, use tax, or other taxes required by law. Vine & Grove does not calculate, collect, or remit taxes on behalf of Providers.

6. Additional Terms for Providers

6.1 Provider Agreement

Providers are subject to the Provider Agreement, which is incorporated into and forms part of these Terms. In the event of a conflict between these Terms and the Provider Agreement, the Provider Agreement shall control with respect to Provider-specific matters.

6.2 Subscription Plans

Provider accounts require a paid subscription. All plans include a 60-day free trial beginning on account creation. Available plans:

6.3 Verification Requirements

Before listing products or services, Providers must complete the verification process, including identity verification, business information, Stripe Connect onboarding, and Community Leader approval. See the Provider Agreement for complete details.

6.4 Independent Contractor

Providers are independent contractors and not employees, agents, or representatives of Vine & Grove. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between Providers and the Company.

7. User Content

7.1 Content Ownership

You retain ownership of all content you submit, post, or display on or through the Services (“User Content”). By submitting User Content, you grant Vine & Grove a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and our business, including for promotional purposes.

7.2 Content Representations

You represent and warrant that: (a) you own or have the necessary rights to submit User Content; (b) your User Content does not violate the privacy rights, publicity rights, intellectual property rights, or other rights of any person; and (c) your User Content does not contain any material that is unlawful, defamatory, obscene, or otherwise objectionable.

7.3 Content Removal

We reserve the right to remove any User Content at any time and for any reason, including but not limited to content that violates these Terms, our Community Guidelines, or applicable law. We are not obligated to monitor User Content but may do so at our discretion.

8. Prohibited Conduct

You agree not to:

• Use the Services for any illegal purpose or in violation of any applicable law
• Sell or list products that are illegal, counterfeit, stolen, or otherwise prohibited
• Harass, threaten, or intimidate other users
• Post false, misleading, or deceptive content
• Manipulate reviews, ratings, or feedback
• Circumvent Community Investment fees by conducting transactions outside the Platform
• Scrape, crawl, or use automated means to access the Services without prior written consent
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Impersonate any person or entity or falsely state or misrepresent your affiliation
• Upload viruses, malware, or other malicious code
• Create multiple accounts to circumvent bans, restrictions, or fee structures
• Use the Services to compete with Vine & Grove without prior written consent
• Violate the intellectual property or other rights of Vine & Grove or third parties

Violation of this section may result in immediate suspension or termination of your account, forfeiture of pending payments, and legal action where appropriate.

9. Intellectual Property

9.1 Company IP

The Services, including all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio, video, software, and the design, selection, and arrangement thereof), are owned by Vine and Grove LLC and are protected by United States and international copyright, trademark, trade secret, patent, and other intellectual property laws.

9.2 Trademarks

“Vine & Grove,” the Vine & Grove logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Vine and Grove LLC. You may not use such marks without our prior written permission.

9.3 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes.

10. Copyright Infringement (DMCA)

We respect intellectual property rights and expect our users to do the same. If you believe that content on the Platform infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated agent:

Your notice must include: (a) a description of the copyrighted work; (b) the URL or location of the allegedly infringing material; (c) your contact information; (d) a statement of good faith belief that the use is not authorized; (e) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act on their behalf; and (f) your physical or electronic signature.

11. Content Moderation

11.1 Community Guidelines

All users must comply with our Community Guidelines, which govern behavior and content standards on the Platform. Community Leaders and Company staff may moderate content, including removing posts, issuing warnings, and suspending accounts.

11.2 Automated Moderation

We may use automated tools to detect and flag content that may violate these Terms or our Community Guidelines. Flagged content is reviewed by human moderators before action is taken.

11.3 Reporting

Users may report content or behavior that violates these Terms or Community Guidelines. Reports are reviewed by Community Leaders and Company staff. We do not guarantee specific action on any report but take all reports seriously.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from use of the Services will be accurate or reliable
• The quality of any products, services, or information obtained through the Services will meet your expectations
• Any errors in the Services will be corrected

We do not endorse, warrant, or assume responsibility for any product or service advertised or offered by any Provider through the Services. We are not responsible for the quality, safety, legality, or availability of any products or services listed on the Platform.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VINE AND GROVE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (c) ANY CONTENT OBTAINED FROM THE SERVICES; OR (d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU HAVE PAID TO VINE & GROVE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY; OR (b) ONE HUNDRED DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Vine and Grove LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another person or entity; or (e) any transaction or dispute between you and another user of the Services.

15. Dispute Resolution

15.1 Escalation Process

For disputes arising between Neighbors and Providers, the following escalation process applies:

1. Provider Resolution: Contact the Provider directly through the Platform to attempt resolution.
2. Community Leader Mediation: If the Provider cannot resolve the issue, escalate to your Community Leader for mediation.
3. Vine & Grove Support: If the Community Leader cannot resolve the issue, contact Vine & Grove support at legal@vineandgrove.com.
4. Binding Arbitration: If all prior steps fail, the dispute will be resolved through binding arbitration as described below.

15.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, that cannot be resolved through the escalation process above, shall be determined by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall take place in Clark County, Washington, or at another mutually agreed location.

15.3 Class Action Waiver

YOU AND VINE & GROVE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.

15.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

15.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, Provider Agreement (if applicable), Community Guidelines, and any other legal notices or agreements published on the Platform, constitute the entire agreement between you and Vine & Grove concerning the Services.

16.2 Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the “Effective Date” at the top of this page. Your continued use of the Services after any modification constitutes your acceptance of the modified Terms.

16.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms without restriction.

16.6 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labor disputes, government actions, or disruptions to the internet or telecommunications infrastructure.

16.7 Notices

We may provide notices to you by email, posting on the Platform, or other reasonable means. You may provide notices to us by mail or email to the addresses listed in Section 17.
